TeeRly Affiliate Program – Terms & Conditions
TeeRly UG (haftungsbeschränkt)
Last updated: October 2026
1. Scope
These Terms and Conditions apply to participation in the TeeRly Affiliate Program operated by TeeRly UG (haftungsbeschränkt), Kolonnenstraße 8, 10827 Berlin, Germany (“TeeRly”).
The TeeRly Affiliate Program allows approved affiliate partners to promote TeeRly products through a personal referral link and earn commissions on qualifying sales attributed to their affiliate accounts in accordance with these Terms and Conditions.
Participation in the Affiliate Program does not establish an employment relationship, commercial agency relationship, partnership, or any other form of representative relationship between TeeRly and the affiliate partner.
2. Participation and Eligibility
Participation in the TeeRly Affiliate Program is open to individuals aged 18 or over, as well as companies and other organizations with legal capacity, provided that the applicable legal requirements are met.
To participate, applicants must submit an application using the application form provided by TeeRly. Applicants must provide all requested information completely and truthfully.
TeeRly reviews each application individually. There is no entitlement to acceptance into the Affiliate Program. TeeRly reserves the right to reject applications without providing reasons, to the extent permitted by law.
Upon approval, the affiliate partner will receive access to the affiliate features provided for participation in the program, as well as a personal referral link.
The personal referral link and affiliate account may only be used by the approved affiliate partner and may not be transferred to third parties without TeeRly’s prior consent.
3. Commissions and Qualifying Sales
Affiliate partners receive a commission of 30% of the actual sale price paid for each qualifying sale of a digital TeeRly TikTok Guide participating in the TeeRly Affiliate Program, provided that the sale is properly attributed to their affiliate account.
Currently, the TeeRly Affiliate Program exclusively covers the digital TikTok Guides offered by TeeRly. Other products or product categories are eligible for commissions only if TeeRly expressly includes them in the Affiliate Program.
A sale is considered qualified when the customer makes a purchase through the affiliate partner’s personal referral link, the payment has been successfully completed, and the sale has been attributed to the corresponding affiliate account by the affiliate system.
Commissions are earned only on completed and paid sales. Cancelled, fully or partially refunded, charged-back, or otherwise reversed payments will be taken into account accordingly when calculating commissions. Commissions already credited may be adjusted or offset against future commissions in such cases.
Taxes, fees, or other amounts that are not part of the product price actually paid to TeeRly do not give rise to any additional commission entitlement.
The commission is 30% of the product price actually paid by the customer, including any value-added tax (VAT) included in the sale price.
4. Referral Tracking and Sales Attribution
TeeRly provides each approved affiliate partner with a personal referral link. Sales can only be attributed to an affiliate partner if they are properly tracked by the affiliate system in use and assigned to the corresponding affiliate account.
A referral tracking period of 30 days generally applies after a customer clicks on a personal referral link. If a qualifying purchase is made within this period and is attributed to the affiliate partner by the affiliate system, a commission may be earned.
Sales attribution is determined by the technical tracking and attribution mechanisms of the affiliate system used by TeeRly. Attribution may not be possible, particularly if required cookies or similar tracking technologies are blocked or deleted, the customer uses a different referral link, or technical attribution is not possible for other reasons.
A commission entitlement exists only for sales that can be verifiably attributed to the respective affiliate account within the affiliate system. TeeRly is not obligated to manually attribute sales to an affiliate partner retroactively if there is insufficient technical or other verifiable evidence supporting such attribution.
5. Payment of Commissions
Eligible commissions are paid monthly. Payments are generally made on the 5th day of the following month, provided that the eligible commission balance is at least €25.00 at that time. If the 5th falls on a day when bank transfers are not normally processed, payment may be made on the next available banking business day.
If the eligible commission balance is less than €25.00, the balance will automatically be carried forward to the next payment period. This process will continue until the minimum payout threshold of €25.00 is reached.
Payments are made to the bank account specified by the affiliate partner. The affiliate partner is responsible for providing complete and accurate banking and payment details.
TeeRly does not charge affiliate partners any transfer fees for payments made via SEPA. For international bank transfers outside the SEPA payment system, TeeRly covers the standard transfer fees charged directly by TeeRly’s bank or payment-processing bank. Additional fees charged by the recipient bank, intermediary correspondent banks, or in connection with currency conversion are beyond TeeRly’s control and may have to be borne by the affiliate partner.
A commission becomes eligible for payment only after the underlying sale has been paid in full and is not subject to any refund, chargeback, cancellation, or other reversal. TeeRly may withhold payment of a commission for a reasonable period where necessary to investigate potential refunds, chargebacks, payment disputes, or irregularities.
The affiliate partner is solely responsible for properly declaring and handling any commissions received in accordance with the tax laws and other legal requirements applicable to them.
6. Permitted Advertising and Affiliate Partner Obligations
The affiliate partner may promote products participating in the TeeRly Affiliate Program through their own websites, social media channels, blogs, videos, newsletters, and other suitable communication channels, provided that such promotional activities comply with these Terms and Conditions and all applicable laws and regulations.
The affiliate partner agrees to present TeeRly and the promoted products truthfully and transparently. In particular, the affiliate partner must not make false, misleading, or unsubstantiated claims about the products, potential results, or prospects of success.
Advertising claims must not promise guaranteed results or success unless such a guarantee has been expressly confirmed in writing by TeeRly.
Affiliate partners must clearly disclose their affiliate relationship and the commercial nature of their recommendations in accordance with all applicable advertising disclosure and transparency requirements.
Prohibited activities include, in particular, spam, unsolicited mass advertising, misleading advertising, artificially generated traffic, bots, fraudulent or manipulative methods, and any other activities that violate applicable laws, third-party rights, or the interests and reputation of TeeRly.
The affiliate partner must not represent themselves to third parties as an employee, representative, or authorized agent of TeeRly and must not enter into any commitments or make any statements on behalf of TeeRly without TeeRly’s prior express consent.
7. Use of Trademarks and Promotional Materials
TeeRly may provide affiliate partners with selected promotional materials, images, texts, logos, or other content to promote products participating in the Affiliate Program.
These materials may only be used in connection with participation in the TeeRly Affiliate Program and for promoting TeeRly products approved for this purpose.
The TeeRly name, TeeRly logos, trademarks, product names, designs, and other protected content may not be modified, imitated, or used for other purposes without TeeRly’s prior express consent.
Affiliate partners must not create or use websites, social media profiles, domains, advertisements, or other online presences that give the impression of being official TeeRly channels.
The use of the TeeRly name or confusingly similar names in domain names, social media usernames, or comparable account identifiers is not permitted without TeeRly’s prior express consent.
Upon termination of participation in the Affiliate Program, the right to use trademarks and promotional materials provided by TeeRly for affiliate purposes ends. Where necessary, the relevant content must subsequently be removed.
8. Self-Purchases and Prohibited Manipulation
Affiliate partners may also use their personal referral link to purchase products participating in the TeeRly Affiliate Program for their own use. Such purchases are generally eligible for commissions, provided that they are properly completed and paid for and are attributed to the respective affiliate account by the affiliate system.
Self-purchases must not be made for the purpose of improperly obtaining commissions or manipulating the affiliate system.
Artificially generating or manipulating clicks, sales, or other activities is prohibited. This applies in particular to the use of bots, automated systems, false identities, or other methods that manipulate tracking or commission calculations.
Where there are reasonable grounds to suspect abuse, fraud, or manipulation, TeeRly is entitled to temporarily withhold the affected commissions and investigate the relevant transactions. Commissions proven to have been obtained through prohibited activities may be cancelled or, if already credited, offset against future commissions.
9. Termination of Participation and Account Suspension
The affiliate partner may terminate their participation in the TeeRly Affiliate Program at any time. Termination may be carried out through the functions provided for this purpose or by sending a corresponding notice to TeeRly.
TeeRly may terminate an affiliate partner’s participation in the Affiliate Program by providing reasonable notice. The right to immediate suspension or termination for good cause remains unaffected.
Good cause may exist, in particular, if the affiliate partner violates these Terms and Conditions or applicable laws, provides false or misleading information, manipulates the affiliate system, engages in fraudulent activities, or promotes TeeRly or its products in an unlawful manner or in a way that causes significant reputational damage.
Where there are reasonable grounds to suspect a serious violation, TeeRly may temporarily suspend the affiliate account and further commission payments to the extent necessary to investigate the circumstances.
Commissions that have been legitimately earned but remain unpaid at the time of termination will generally remain valid and will be paid in accordance with these Terms and Conditions. This does not apply to commissions proven to have been generated through fraud, manipulation, or any other violation of these Terms and Conditions.
Following termination of participation, the personal referral link may no longer be used to promote the TeeRly Affiliate Program. The provisions concerning the discontinuation of the use of TeeRly trademarks and promotional materials provided by TeeRly remain unaffected.
10. Changes to the Affiliate Program and These Terms and Conditions
TeeRly reserves the right to modify or further develop the Affiliate Program and these Terms and Conditions with effect for the future, provided that there is an objective reason for doing so. Such changes may be necessary, in particular, due to legal or technical developments, new features, additional products or product categories, or adjustments to the commission or payment structure.
TeeRly will inform affected affiliate partners of any material changes affecting their rights or obligations in an appropriate manner before such changes take effect.
Changes to commission rates or other material remuneration terms will apply exclusively to future commission-eligible sales from the respective effective date communicated to affiliate partners. Commission entitlements that have already been legitimately earned will remain unaffected by such changes.
If an affiliate partner does not agree with a material change, they may terminate their participation in the Affiliate Program before the change takes effect.
11. Data Protection
TeeRly processes personal data of applicants and affiliate partners exclusively in accordance with applicable data protection laws and TeeRly’s current Privacy Policy.
As part of the Affiliate Program, the data processed may include, in particular, contact details, information provided during the application process, affiliate account data, referral and tracking information, commission and transaction data, and information required for commission payments.
This data is processed, in particular, to review applications, administer the Affiliate Program, attribute qualifying sales, calculate and pay commissions, prevent misuse, and comply with legal obligations.
Further information about the processing of personal data, the rights of data subjects, and contact options can be found in TeeRly’s current Privacy Policy.
12. Liability
TeeRly makes reasonable efforts to ensure the reliable operation of the Affiliate Program and the tracking system used. However, uninterrupted or error-free availability at all times cannot be guaranteed.
TeeRly shall be liable without limitation for damages resulting from intentional misconduct or gross negligence on the part of TeeRly, as well as in cases where liability is mandatory under applicable law.
In the event of a slightly negligent breach of material contractual obligations, TeeRly’s liability shall be limited to foreseeable damages typical for this type of contract, to the extent permitted by law. Material contractual obligations are those obligations whose fulfillment is essential for the proper performance of the Affiliate Program and upon whose compliance the affiliate partner may reasonably rely.
The foregoing limitations of liability shall not apply in cases of injury to life, body, or health, or in any other cases where liability may not be excluded or limited by law.
TeeRly shall not be liable for damages or disadvantages resulting from incomplete or incorrect information provided by the affiliate partner, particularly incorrect banking or payment details.
13. Applicable Law
These Terms and Conditions and participation in the TeeRly Affiliate Program shall be governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG), unless mandatory statutory provisions require otherwise.
Mandatory statutory provisions that apply irrespective of this choice of law shall remain unaffected.
To the extent permitted by law, and provided that the affiliate partner is a merchant, a legal entity under public law, or a special fund under public law, the place of jurisdiction for disputes arising from or in connection with the TeeRly Affiliate Program shall be Berlin, Germany.
14. Final Provisions and Contact
If any provision of these Terms and Conditions is or becomes wholly or partially invalid or unenforceable, the remaining provisions shall remain unaffected. The applicable statutory provisions shall apply in place of the invalid or unenforceable provision.
The affiliate partner may not transfer any rights or obligations arising from participation in the TeeRly Affiliate Program to third parties without TeeRly’s prior consent, to the extent permitted by law.
