1. Scope
These Terms and Conditions apply to all purchases made through the TeeRly online shop between TeeRly UG (haftungsbeschränkt), Kolonnenstraße 8, 10827 Berlin, Germany (“TeeRly”, “we”, “us”) and its customers.
Our online shop primarily offers digital products, in particular downloadable TikTok guides in PDF format.

3. Conclusion of the Contract
The presentation of products in our online shop does not constitute a legally binding offer, but an invitation to place an order.
By completing the checkout process and submitting the order using the designated order button, the customer submits a binding offer to purchase the selected digital product.
The contract is concluded when TeeRly accepts the order, for example by sending an order confirmation or by providing access to the purchased digital product.
Customers are responsible for ensuring that the email address provided during the ordering process is correct and capable of receiving emails.
4. Digital Products
The products offered by TeeRly are digital products unless expressly stated otherwise on the respective product page.
No physical product will be shipped for digital products.
The purchased PDF guide is made available electronically after successful completion of the order and payment process, normally by means of a download link or comparable electronic access.
5. Prices and Payment
All prices displayed in the online shop are the final prices applicable at the time of purchase. Any applicable taxes are included to the extent required by law.
The payment methods currently available are displayed during the checkout process.
Payment is due immediately upon conclusion of the contract unless otherwise stated during checkout.
6. Delivery of Digital Content
Digital content is provided electronically.
After successful payment, the customer receives access to the purchased digital product through the delivery method indicated during the ordering process, for example via a download link sent by email.
The customer is responsible for providing a valid email address and for ensuring that the technical requirements necessary to download and open PDF files are available.

7. Right of Withdrawal for Digital Content
Consumers generally have a statutory right of withdrawal for distance contracts.
For digital content that is not supplied on a tangible medium, the statutory right of withdrawal may expire once performance of the contract has begun if the legal requirements for such expiry are fulfilled.
In particular, where required by law, the customer must expressly consent to TeeRly beginning performance before the expiry of the withdrawal period and acknowledge that, by giving this consent, the customer loses the right of withdrawal once performance begins.
The statutory provisions regarding the right of withdrawal remain unaffected.
8. No Physical Returns
Because our guides are supplied digitally and not as physical goods, there is no physical shipment to return.
This does not limit any statutory rights of the customer, including statutory rights relating to defective digital content or any applicable right of withdrawal.
9. Rights of Use and Copyright
All digital products, texts, graphics, concepts, guides and other content provided by TeeRly are protected by copyright and other applicable intellectual property laws.
Purchase of a digital product grants the customer a personal, non-exclusive and non-transferable right to use the purchased content for their own purposes.
Unless expressly permitted in writing by TeeRly, customers may not:

reproduce the digital product for commercial distribution;

resell, redistribute or sublicense it;

upload it to file-sharing platforms or other publicly accessible services;

make it available to third parties for download;

publish substantial parts of the content as their own product.
All intellectual property rights remain with TeeRly or the respective rights holder.
10. No Guarantee of Specific Results
Our guides provide information, methods and practical recommendations intended to assist customers with their TikTok activities.
Individual results depend on numerous factors, including implementation, content quality, activity, audience, market conditions and changes to third-party platforms.
Therefore, TeeRly does not guarantee a specific number of followers, views, interactions, sales, income or other individual results.
11. Third-Party Platforms
Our guides may contain information about third-party platforms such as TikTok.
TeeRly is independent of these third-party platforms unless expressly stated otherwise.
Third-party platforms may change their functions, algorithms, policies, terms or availability at any time. TeeRly has no control over such changes.
12. Defective Digital Content
The statutory rights applicable to defective digital products remain unaffected.
If a purchased file cannot be downloaded, is technically defective or the wrong digital product has been provided, customers should contact:

13. Liability
TeeRly is liable without limitation where liability is mandatory under applicable law, including in cases of intent and gross negligence and for injury to life, body or health.
In all other cases, liability is governed by the applicable statutory provisions.
Nothing in these Terms and Conditions excludes or limits mandatory consumer rights.
14. Data Protection
Information about the processing of personal data is available in our Privacy Policy.
15. Changes to These Terms
TeeRly may update these Terms and Conditions for future transactions where necessary, for example due to legal, technical or operational changes.
The Terms and Conditions applicable at the time the respective order is placed shall apply to that order.
16. Applicable Law
The law of the Federal Republic of Germany applies.
For consumers, this choice of law does not deprive them of mandatory consumer protection provisions applicable under the law of the country in which they have their habitual residence.
17. Final Provisions
If any individual provision of these Terms and Conditions is or becomes invalid, the validity of the remaining provisions shall remain unaffected to the extent permitted by law.
Mandatory statutory provisions and consumer rights remain unaffected.
